Lehto Group Plc: Members of the shareholders’ Nomination Committee of Lehto Group Plc

Three of Lehto Group Plc’s biggest shareholders have named their representatives for the shareholders’ Nomination Committee whose job is to prepare the proposals concerning Board members and remuneration for the Annual General Meeting of 2019. The members of the Nomination Committee are Hannu Lehto, Vesa Vanha-Honko and Mikko Kinnunen.

According to the charter of the shareholders’ Nomination Committee approved by the Lehto Group Plc, the members of the shareholders’ Nomination Committee consist of the representatives of the three biggest shareholders who have accepted the responsibility. The biggest shareholders shall be annually named with regard to the situation on the last October date of public trading organised by Nasdaq OMX Helsinki on the basis of the company’s shareholders’ register, held by Euroclear Finland Oy. Each of the three biggest shareholders shall nominate one representative for the Nomination Committee. Should someone opt out of the nomination right, the right is transferred to the next-biggest shareholder who otherwise would not have the nomination right. The chairman of the company’s board of directors acts as an expert member of the Committee without a right to vote.

According to the last October date of public trading organised by Nasdaq OMX Helsinki, Lehto Group Plc’s three biggest shareholders were Lehto Invest Oy, OP-Rahastoyhtiö Oy and Mikko Kinnunen. They exercised their nomination right, nominating Hannu Lehto, Vesa Vanha-Honko and Mikko Kinnunen, all accepting the nomination, as members of the Nomination Committee.

The term of office of the Committee member is valid until the last October date of public trading organised by Nasdaq OMX Helsinki that is next after nomination.
